Agreement to Our Legal Terms

By accessing or using BitePrep (the "App") and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree with these terms, you may not use the Services.

We are TechBasi LLC, a limited liability company organized in Michigan, United States. You can reach us at info@techbasi.com.

What the Services Are

BitePrep is a meal planning app. The current Services let you:

• Build a personal meal library — add meals with ingredients, notes, and cuisine type.
• Plan your meals on a weekly planner by assigning meals to days and meal times.
• Use rotation and queue patterns (Flexible, Favorite, Leftovers, Meal Prep, Blank) to fill your week.
• Keep meal prep notes for each week.
• Configure dietary preferences including cooking days, meal times, dietary restrictions, and disliked ingredients.
• Create shared meal planners to plan together with family, partners, roommates, or friends you invite by email.

These Terms constitute a legally binding agreement between you and TechBasi LLC. If you do not agree with these Terms, you must discontinue use of the Services immediately.

1. Eligibility and Account Registration

You must be at least 13 years old to use BitePrep. If you are a minor in your jurisdiction, you must have your parent or legal guardian's permission to use the Services.

You may create an account using:

• Sign in with Apple
• Google Sign-In
• Email and password

You agree that:

• The information you provide on registration is accurate and complete, and you will keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• You will notify us at info@techbasi.com if you become aware of unauthorized access to your account.

We reserve the right to refuse, suspend, or terminate accounts at our discretion as described in Section 10.

2. Subscriptions

BitePrep has a free tier and a paid Pro tier.

Free Tier

The free tier lets you use the core meal planner. The free tier is limited to 20 meals in your personal meal library. Once you reach that limit, you'll be prompted to upgrade to add more.

Pro Tier

The Pro tier removes the meal limit and unlocks additional features, which currently include shared meal planners, multi-week planning, and smart planning tools. The feature set of the Pro tier may change as we add or revise features.

Billing

• Subscriptions are sold and billed by Apple through the App Store. Apple's standard subscription terms apply.
• Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the period ends.
• Your subscription is charged to the payment method associated with your Apple ID.
• We use RevenueCat to manage subscription state on our side. We do not receive or store your payment details — Apple handles payment.

Cancellation

You can cancel your subscription at any time in your Apple ID Subscription settings (Settings → [Your Name] → Subscriptions on iOS). Cancellation takes effect at the end of the current paid period.

Refunds

Refund requests for App Store purchases are handled by Apple under Apple's refund policy. You can request a refund at https://reportaproblem.apple.com.

Price Changes

We may change subscription prices from time to time. Where required by law, we will notify you in advance and you will be given the opportunity to accept the new price or cancel.

Free Trial

If we offer a free trial, it will convert to a paid subscription at the end of the trial period unless you cancel before the trial ends.

3. Acceptable Use

You agree that you will not:

• Use the Services in violation of any applicable law or regulation.
• Use the Services to harass, abuse, threaten, defame, or harm another person.
• Impersonate another person or misrepresent your affiliation with any person or entity.
• Attempt to access another user's account or content without permission.
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent expressly permitted by applicable law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services, our servers, or our infrastructure.
• Upload or transmit viruses, malware, or other harmful code.
• Use automated systems (bots, scrapers) to access or extract data from the Services.
• Use the Services to send unsolicited communications.
• Use the Services to advertise or solicit business unrelated to BitePrep.
• Resell, sublicense, or otherwise transfer your account.
• Remove or obscure any copyright, trademark, or other proprietary notices in the Services.

4. Your Content

You may add content to the Services, including meals, ingredients, recipe notes, weekly plans, dietary preferences, and meal prep notes ("Your Content").

• You own Your Content. We do not claim ownership of meals or recipes you create.
• You grant us a license to host, store, transmit, display, and process Your Content solely to operate the Services for you — including syncing it across your devices and making it available to people you have invited to a shared planner.
• You are responsible for Your Content. You represent that you have the right to upload and share Your Content and that it does not violate any law or third-party rights.

If you submit feedback or suggestions about the Services, you agree that we may use and act on that feedback without obligation to you.

5. Sharing and Collaboration

The Services let you share meal planners with people you invite ("shared meal planners").

• When you invite someone by email, we store the email address you provide and create an invitation that the invitee can accept.
• Members of a shared planner can see the planner content (meals on the planner, meal prep notes, plan configuration) and the names and emails of other members.
• The owner of a shared planner can remove members. Members can leave a shared planner at any time.
• Do not invite people to a shared planner without their consent. You are responsible for the email addresses you submit.

6. Intellectual Property

We (and our licensors) own all intellectual property rights in the Services, including the App's source code, design, look and feel, trademarks, logos, and branding. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the App on devices you own or control for your personal, non-commercial use.

All rights not expressly granted to you are reserved.

7. Mobile Application License and Apple App Store Terms

The following terms apply because you obtain the App from the Apple App Store. These terms are required by Apple, and Apple is a third-party beneficiary of these terms with the right to enforce them against you.

a. Acknowledgement

These Terms are between you and TechBasi LLC, not Apple. TechBasi LLC, not Apple, is solely responsible for the App and its content.

b. Scope of License

The license granted in Section 6 is limited to a license to use the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions ("Usage Rules"). The App may be accessed by other accounts associated with the purchaser via Family Sharing.

c. Maintenance and Support

TechBasi LLC, not Apple, is solely responsible for providing any maintenance and support services for the App. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

d. Warranty

TechBasi LLC, not Apple, is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of TechBasi LLC.

e. Product Claims

TechBasi LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

f. Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, TechBasi LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

g. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

h. Developer Contact Information

Direct any questions, complaints, or claims regarding the App to info@techbasi.com.

i. Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the App.

j. Third-Party Beneficiary

You and TechBasi LLC acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

8. Third-Party Services

The Services rely on the following third-party services:

• Firebase Authentication, Firestore, Analytics, and Crashlytics (Google) — for sign-in, data storage, analytics, and crash reporting.
• RevenueCat — for subscription management.
• Apple App Store — for billing, payment processing, and Sign in with Apple.
• Google Sign-In — if you choose Google as your sign-in method.

These services have their own terms and privacy policies. We are not responsible for the practices of these third parties beyond our use of their services as described in our Privacy Policy.

9. Privacy

Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the Privacy Policy.

10. Account Deletion and Termination

Deletion by You

You can delete your account at any time:

• In the app: open Settings → Delete Account.
• By email: send a message to info@techbasi.com with the subject "Delete Account."

Account deletion removes your profile, your meals, your weekly plans, your dietary preferences, and your share invitations, and detaches you from any shared planners. Some data may persist briefly in encrypted backups before being overwritten on the normal backup rotation, and we may retain limited records where required by law.

Termination by Us

We may suspend or terminate your access to the Services at our discretion, including for breach of these Terms, suspected fraud, or where required by law. We will give you reasonable notice where practicable.

Survival

Sections that by their nature should survive termination — including Sections 4 (license you grant us), 6 (intellectual property), 7 (Apple terms), 11 (disclaimers), 12 (limitation of liability), 13 (indemnification), 15 (governing law), 16 (dispute resolution), and 19 (miscellaneous) — will survive termination of these Terms.

11. Disclaimers

BitePrep is a meal planning tool, not a source of nutritional, medical, or dietary advice. You are responsible for your own dietary and food safety decisions. If you have allergies, medical conditions, or other concerns, consult a qualified professional.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TECHBASI LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, the above limitations apply only to the extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless TechBasi LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) Your Content; or (d) your violation of any third-party right.

14. Modifications to the Services and Terms

We may change, suspend, or discontinue any part of the Services at any time. We may also update these Terms. When we make a material change to these Terms, we will update the "Last updated" date and the version number, and we may prompt you to review and accept the updated Terms in the app. We record the version of the Terms you have accepted on your account.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws principles. Subject to Section 16, you agree to the exclusive jurisdiction of the state and federal courts located in Michigan for any matter not subject to arbitration.

16. Dispute Resolution

Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at info@techbasi.com and giving us 30 days to respond.

Binding Arbitration

If the dispute is not resolved informally, you and TechBasi LLC agree to resolve the dispute by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may bring an individual claim in small-claims court if the claim qualifies. The arbitration will be conducted in Michigan unless we agree otherwise.

No Class Actions

You and TechBasi LLC agree that any claim will be brought only in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@techbasi.com within 30 days of first accepting these Terms.

17. Electronic Communications

By using the Services, you consent to receive electronic communications from us (including by email and in-app messages). You agree that any agreement, notice, or disclosure that we provide electronically satisfies any legal requirement that it be in writing.

18. California Residents

If you are a California resident and a complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

19. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and TechBasi LLC regarding the Services.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.
• No waiver. Our failure to enforce any provision is not a waiver of that provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in a merger, acquisition, or sale of assets.
• Headings. Section headings are for convenience only and have no legal effect.
